1. Introduction

These Terms and Conditions govern your use of atelierente's website and services. By accessing our website or engaging our services, you agree to be bound by these terms. If you do not agree with any part of these terms, please do not use our services.

atelierente ("we," "us," or "our") provides interior design consultation and services in Singapore. These terms constitute a legally binding agreement between you and atelierente.

2. Definitions

• "Services" refers to interior design consultations, planning, and implementation services provided by atelierente
• "Client" or "You" means any person or entity engaging our services
• "Project" refers to the specific design work agreed upon in a service agreement
• "Website" means the atelierente website and all associated pages
• "Content" includes all text, images, designs, and materials on our website or produced during services

3. Use of Services

Eligibility

You must be at least 18 years old and have legal capacity to enter into contracts to use our services. By engaging our services, you represent that you meet these requirements.

Service Scope

Our services are limited to interior design consultation and planning. Unless explicitly stated in a service agreement:

• We do not perform structural modifications or construction work
• We do not provide architectural or engineering services
• We do not guarantee specific financial returns or property value increases
• Furniture, art, and materials are not included in service fees unless specified

4. Service Agreements and Fees

Engagement

Services are provided based on written agreements that specify scope, timeline, and fees. All agreements must be signed by both parties before work commences.

Payment Terms

• Initial consultation fees are due at time of booking
• Project fees are typically structured as: 50% deposit, 30% mid-project, 20% upon completion
• Payments are due within 14 days of invoice date
• Late payments may incur interest at 1.5% per month
• All fees are in Singapore Dollars (SGD) unless otherwise stated

Additional Costs

Service fees cover professional design services only. Clients are responsible for all furniture, art, materials, installation, and third-party vendor costs unless explicitly included in the agreement.

5. Client Responsibilities

Clients agree to:

• Provide accurate information about the property, budget, and requirements
• Grant reasonable access to the property for site visits and measurements
• Respond to design proposals and questions in a timely manner
• Obtain necessary permissions from property owners or management
• Review and approve designs before implementation proceeds
• Make timely payments according to agreed schedules
• Inform us of any concerns or issues promptly

6. Intellectual Property

Our Content

All design concepts, plans, drawings, mood boards, and other materials created by atelierente remain our intellectual property. Clients receive a limited license to use these materials solely for implementing the specific project.

Restrictions

• Designs may not be used for other projects without our written permission
• Designs may not be shared with other designers or contractors for competitive bidding
• Commercial use of our designs requires separate licensing agreement
• Our designs may not be modified without our approval

Photography and Portfolio

We may photograph completed projects for portfolio use only with your explicit written permission. You maintain the right to approve specific images before any use.

7. Cancellation and Refunds

By Client

• Initial consultations may be cancelled up to 48 hours before scheduled time for full refund
• Project cancellations are subject to completion percentage: work completed plus 25% of remaining fee
• Deposits are non-refundable once work has commenced
• All cancellations must be submitted in writing

By atelierente

We reserve the right to terminate services if client fails to make timely payments, provide necessary access, or cooperate in good faith. In such cases, client remains liable for work completed.

8. Limitation of Liability

Service Limitations

Our services are provided on an "as is" basis. We make no warranties regarding:

• Specific aesthetic outcomes or client satisfaction
• Property value increases or financial returns
• Performance of third-party vendors or suppliers
• Availability of specific furniture, art, or materials
• Construction or installation quality by other parties

Liability Cap

Our total liability for any claim arising from our services is limited to the fees paid for the specific service in question. We are not liable for:

• Indirect, consequential, or incidental damages
• Loss of profits, business, or opportunities
• Property damage caused by third-party contractors
• Delays in project completion due to factors beyond our control

9. Confidentiality

We maintain strict confidentiality regarding all client information, including:

• Personal contact details and property information
• Design preferences and collection details
• Budget information and financial data
• Any other information marked as confidential

This confidentiality obligation survives termination of services and applies to all our staff and contractors.

10. Dispute Resolution

Informal Resolution

In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation.

Mediation

If negotiation fails, disputes shall be submitted to mediation at the Singapore Mediation Centre before pursuing other remedies.

Governing Law

These terms are governed by Singapore law. Any legal proceedings shall be conducted in Singapore courts, and both parties submit to the exclusive jurisdiction of Singapore courts.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, pandemics, supplier failures, or other unforeseen events. In such cases, timelines will be extended by a reasonable period.

12. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to existing clients. Continued use of our services after changes constitutes acceptance of modified terms. Terms in effect at time of service agreement govern that specific engagement.

13. Severability

If any provision of these terms is found unenforceable, the remaining provisions continue in full force and effect. Unenforceable provisions will be modified to the minimum extent necessary to make them enforceable while preserving intent.

14. Entire Agreement

These terms, together with any signed service agreements, constitute the entire agreement between parties and supersede all prior discussions or understandings. Modifications must be in writing and signed by both parties.
